Preamble

These Official Contest Rules govern the TopDog Challenge (the "Contest") conducted by TopDog Law, P.A., a Delaware professional corporation ("TopDog"). A copy of these Official Contest Rules is available online at challenge.topdoglaw.com. NO PURCHASE OR RETENTION OF SERVICES IS NECESSARY to enter or win. A purchase or retention of services will not increase your odds of winning. This Contest is void where prohibited by law.

IMPORTANT NOTICE REGARDING ATTORNEY ADVERTISING:

This Contest is sponsored by TopDog Law, P.A., a Delaware professional corporation, a personal injury law firm headquartered in Scottsdale, Arizona. This Contest constitutes attorney advertising. Prior results do not guarantee a similar outcome. TopDog has staff licensed to practice law in the states listed herein, including Arizona, Illinois, Pennsylvania, New York, North Carolina, Louisiana, Ohio, Georgia, Michigan and Tennessee. Nothing in this Contest or any submission made in connection with this Contest constitutes legal advice or creates an attorney-client relationship.

Section 1: Eligibility Requirements

1.1 Age and Residency

Individuals who are eighteen (18) years of age or older as of the date of entry and legal residents of at least one of the following states: Illinois, Pennsylvania, New York, Georgia, Michigan, Ohio, Arizona, North Carolina, Tennessee, or Louisiana (collectively, the "Eligible States"), may enter the Contest (each, an "Entrant"). Residents of all other states, U.S. territories, and all other countries are NOT eligible to enter. By entering, each Entrant hereby represents and warrants that they meet all the foregoing eligibility requirements. TopDog reserves the right to verify eligibility at any time and to disqualify any Entrant who does not meet all eligibility requirements.

1.2 Ineligible Individuals

The following individuals are NOT eligible to enter or win this Contest, even if they otherwise meet the age and residency requirements set forth in Section 1.1 above:

Employee (i.e., full-time, part-time and/or temporary employees), officers, directors, contractors, vendors, affiliate and/or suppliers of TopDog, of any advertising and/or prize fulfillment agencies or services, and/or of any of their respective parent entities, subsidiaries, or affiliated companies.

Immediate family members of such employees, including without limitation current and/or ex-spouses, parents, grandparents, children, grandchildren, siblings, in-laws, and/or steps in any of the foregoing categories.

Any other individual legally residing in the same household (i.e., at the same physical address), whether related or not, of such employees, including without limitation roommates, housemates, significant others, and partners.

Any paid promotional actors, brand ambassadors, influencers, or other individuals who have received compensation from TopDog for promotional services within the twelve (12) months preceding the Contest start date; and any attorney, paralegal, or law firm employee who represents or has represented adverse parties in litigation against TopDog or its clients.

1.3 Minors

THIS CONTEST IS ONLY OPEN TO INDIVIDUALS AGED 18 AND OLDER. NO PERSON UNDER THE AGE OF EIGHTEEN (18) MAY ENTER, SUBMIT CONTENT, OR WIN A PRIZE IN THIS CONTEST. ANY ENTRY SUBMITTED BY A PERSON UNDER THE AGE OF 18 WILL BE IMMEDIATELY DISQUALIFIED. TOPDOG DOES NOT KNOWINGLY COLLECT PERSONAL INFORMATION FROM MINORS. IF TOPDOG DETERMINES THAT ANY ENTRANT IS UNDER THE AGE OF 18, SUCH ENTRANT WILL BE IMMEDIATELY DISQUALIFIED AND ALL SUBMITTED CONTENT WILL BE PERMANENTLY DELETED.

Section 2: Contest Rules; Contest Period; How to Enter

2.1 Skill Contest

This Contest is a skills-based contest and does not involve any element of chance and, accordingly, odds of winning depend on the number of eligible entries received and the relative quality thereof as determined by TopDog in its sole discretion. TOPDOG WILL BE THE SOLE ARBITER IN ALL MATTERS RELATING TO THE CONTEST, INCLUDING, WITHOUT LIMITATION, ENTRANT ELIGIBILITY, THE VALIDITY OF CONTEST ENTRIES, AND THE INTERPRETATION OF THE OFFICIAL CONTEST RULES. ALL DECISIONS BY TOPDOG WILL BE FINAL AND MAY NOT BE APPEALED. ENTRY INTO THIS CONTEST CONSTITUTES AGREEMENT BY ENTRANTS TO ABIDE BY THESE OFFICIAL CONTEST RULES, AS MAY BE AMENDED FROM TIME TO TIME, AS WELL AS ANY OTHER RULES ESTABLISHED BY TOPDOG.

2.2 Contest Period

To enter starting at 5:00 AM Eastern Time ("ET") on May 18, 2026, and ending at 11:59 PM ET on May 31, 2026, (the "Contest Period"). Entries submitted before or after the Contest Period will be disqualified. All times referenced in these Official Contest Rules are Eastern Standard Time. TopDog's servers shall serve as the official timekeeping device for all Contest-related purposes. TopDog reserves the right to extend, shorten, or otherwise modify the Contest Period at any time, in its sole discretion, subject to applicable FCC regulations and these Official Contest Rules. Any changes to the Contest Period will be announced on-air and posted online at challenge.topdoglaw.com.

2.3 Method of Entry

To enter the Contest during the Contest Period, Entrants must complete the following two steps: (i) go to challenge.topdoglaw.com, click the Contest entry link, and then complete and submit the official online entry form, and (ii) post your qualifying video submission ("Video") on your personal Instagram account with the hashtag#topdoglawchallenge. Each Video submission must be uploaded in one of the following formats ".mp4 or .mov" (no other formats shall be accepted), and must be 720px x 1280px. No other method of entry is permitted. Entries submitted by mail, fax, telephone, or any other method shall not be accepted. By posting the Video publicly on Instagram, each Entrant acknowledges that such posting constitutes attorney advertising, that such post must comply with these Official Contest Rules, and agrees to include the applicable disclosures required by Section 3 of these Official Contest Rules.

2.4 Entry Content

For purposes of this Contest, "Video" may be used interchangeably to include, but not be limited to, any image that may be produced by an analog or digital camera, by an optical image scanner, by means of a "screen dump," "screen capture," "screenshot," or "screengrab," and/or by the digital manipulation of one or multiple videos such as may be achieved using image editing software (together with any entry form and the content included, depicted, and/or captured in such audio work or Video work, the "Entry Content").

2.5 Required Entry Information

Each entry must include all of the following information: Entrant's legal first name and last name; complete physical address; complete mailing address; date of birth (must be 18 years of age or older); valid telephone number; valid email address; Instagram handle; one (1) qualifying Video; and affirmative agreement to these Official Contest Rules by checking the "I Agree" box.

2.6 Cancellation or Modification

TopDog reserves the right to cancel, suspend, delay, modify or terminate the Contest at any time, without prior notice to any Entrant (except as required by FCC § 73.1216 or applicable law), if: (i) the Contest cannot be executed as planned due to factors beyond TopDog's reasonable control; (ii) fraud, tampering, or unauthorized intervention corrupts the administration, security or integrity of the Contest; (iii) required by applicable attorney ethics rules and regulations; or (iv) required by applicable law or FCC regulation. In the event of cancellation or termination of the Contest before the conclusion of the Contest Period, TopDog reserves the right, in its sole and absolute discretion, to modify the procedure for selecting winners, unless the nature of the event giving rise to such cancellation or termination renders it impossible to select winners.

2.7 Required Representations, Warranties, and Agreements

Entrant represents, warrants, and agrees to ALL of the following by checking the "I Agree" box and submitting an entry:

Entrant represents and warrants that they are both eighteen (18) years of age or older and a legal resident of one of the Eligible States.

Entrant represents and warrants that the Video submitted with entry complies with all of the video requirements set forth in Section 3 of these Official Contest Rules.

Entrant solely and exclusively owns all right, title and interest in and to the Video, including all copyrights, trademarks and/or other intellectual rights contained therein, or has obtained a valid, written license from all applicable rights holders sufficient to grant TopDog exclusive rights to the Video or Entry Consent, as described in these Official Contest Rules.

Entrant understands and agrees that TopDog shall be the sole and exclusive owner of the Video, and Entrant hereby unconditionally and irrevocably agrees to assign all of its right, title and interest in and to the Video and all Entry Content, whether or not the Video is selected as a winner, and Entrant hereby agrees to sign any documents requested by TopDog to evidence such transfer or assignment of ownership.

The Video does not contain any third-party music, audio recordings, sound recordings, or musical compositions without a valid synchronization and master use license from all applicable rights holders.

Entrant agrees and acknowledges that TopDog and its affiliates, employees, agents, members and all other related sponsors may use the Entrant's name, image, likeness, Video, other entry materials and/or biographical information of the Entrant for advertising and/or promotional purposes in any medium now known or hereafter developed in connection, directly or indirectly, with its marketing and advertisement campaigns, whether or not related to this Contest or otherwise without the payment of compensation to the Entrant.

Entrant understands that the Contest is sponsored by a law firm and that all Video submissions must comply with applicable attorney advertising rules and guidelines as described in Section 3 of these Official Contest Rules.

Entrant agrees to indemnify, defend, and hold harmless TopDog and all Released Parties (as defined below), if any of Entrant's representations or warranties prove to be false, inaccurate, or misleading, and as set forth in Section 9 of these Official Contest Rules.

2.8 Entry Limit

LIMIT ONE (1) ENTRY PER PERSON AND PER EMAIL ADDRESS AND PER TELEPHONE NUMBER. TOPDOG WILL DISCARD MULTIPLE ENTRIES RECEIVED BY SAME ENTRANT IN THE CONTEST.

2.9 Not Employment Application

ENTRY IN THIS CONTEST SHALL NOT BE CONSTRUED IN ANY WAY AS A JOB APPLICATION OR AS A SUBMISSION TO TOPDOG FOR CONSIDERATION FOR EMPLOYMENT, EXCEPT AS EXPRESSLY SET FORTH IN SECTION 4 REGARDING THE PRODUCTION OF THE COMMERCIAL.

Section 3: Video Requirements; Attorney Advertising Compliance; Disclosures

3.1 Overview and Attorney Advertising Compliance

TopDog is a law firm operating in a highly regulated industry subject to attorney advertising rules in multiple jurisdictions. All Video submissions must comply with the attorney advertising rules applicable in each of the Eligible States and with applicable FTC and FCC regulations. Any Video that does not comply with these requirements will be disqualified.

3.2 FTC Endorsement Guidelines

Any Video submission that constitutes or contains an endorsement or opinion about TopDog or its services must: (a) reflect the Entrant's honest, genuine opinion; (b) clearly and conspicuously disclose the material connection between the Entrant and TopDog (i.e., that the Entrant submitted the Video as part of a contest for a chance to win a prize); and (c) not make any claims about TopDog's services that are not substantiated by actual, verifiable experience.

3.3 Social Media Disclosures

Every Video posted on Instagram in connection with this Contest must include, in the caption or on-screen, all of the following disclosures: (i) the hashtag #topdoglawchallenge; (ii) a clear and conspicuous disclosure of the Entrant's material connection to TopDog, such as #Contest #Ad or equivalent plain-language disclosure (e.g., "This is a sponsored contest entry"); and (iii) the attorney advertising disclaimer set forth in Section 3.4. TopDog's failure to enforce this requirement as to any particular Entrant shall not constitute a waiver of this requirement as to any other Entrant.

3.4 Required Content Disclosures

All Video submissions must include or be accompanied by the following disclosures as required by applicable attorney advertising rules:

3.5 Mandatory Prohibitions

The following content is STRICTLY PROHIBITED in compliance with attorney advertising rules in all Eligible States:

  • Do not make any statement that is false, misleading or deceptive.
  • Do not make guarantees, definitive claims, or promises of a specific legal outcome, financial result, or settlement amount.
  • Do not make any definitive statistics or success rates not supported by documented, verifiable evidence.
  • Do not describe legal services as being "free".
  • Do not display stacks of cash, specific currency amounts, or "money bag" imagery.
  • Do not make any claims about TopDog's fees or billing rates that are not accurate and verifiable.
  • Do not use depiction of insurance adjusters in a manner that is threatening, harassing, unduly demeaning, or could be perceived as disparaging.
  • Do not use depictions of lawyers by non-lawyers.
  • Do not use words or phrases suggesting the firm will use improper or illegal tactics to obtain a specific result.
  • Do not use any content that could be interpreted as soliciting a specific person who has not expressed a desire to retain legal services.
  • Do not use nudity, sexually explicit, suggestive or obscene content.
  • Do not use profanity, hate speech, or discriminatory language or imagery.

3.6 Copyright in Videos

All Video submissions must not include any third-party music, sound recordings, or musical compositions unless Entrant holds valid synchronization and master use licenses from all applicable rights holders. Entrants are strongly advised not to use any third-party music. TopDog shall have no obligation to obtain music licenses on behalf of any Entrant, and any Video containing unlicensed third-party music will be disqualified.

Section 4: Prizes; Winner Selection

4.1 Swag Box Prize Winners

The first five hundred (500) Entrants in this Contest that submit qualifying Videos will each receive one (1) Swag Box Prize (as described below) (each a "Swag Box Prize Winner"). Each potential Swag Box Prize Winner will be notified of winning within fourteen (14) days of entry via email at the email address provided in the Entrant's entry form. TopDog is required to send only one (1) notification email. Notification shall be deemed to have occurred immediately upon transmission by TopDog. TopDog reserves the right, but not the obligation, to attempt additional contact via telephone or other means, in its sole discretion. If a potential Swag Box Prize Winner cannot be contacted, or if TopDog does not receive a response within fourteen (14) days of entry of notification, the Swag Box Prize will be forfeited. If a potential Swag Box Prize Winner fails to verify their personal information, including name, date of birth and state of residency, or complete and submit all documents required by TopDog within five (5) business days of notification, the Swag Box Prize will be forfeited. Forfeited Swag Box Prizes will not be re-awarded.

4.2 Swag Box Prize

Each Swag Box Prize includes the following: (i) a TopDog branded sticker sheet; (ii) a TopDog branded tote bag; (iii) a TopDog branded hat; (iv) a TopDog Branded bandana; (v) a fifty-dollar ($50) Visa gift card; (vi) a TopDog Branded note card; and (vii) a TopDog Branded box mailer. Each Swag Box Prize is valued at approximately$100.00. Swag Box Prizes will be mailed to each Swag Box Prize Winner approximately 1-2 weeks after the conclusion of the Contest.

4.3 Grand Prize Winner Selection

After 11:59 PM ET on May 31, 2026, TopDog, in its sole discretion and subjective opinion based upon any lawful criteria, will select up to one (1) entrant to be the "Grand Prize Winner" of this Contest, subject to confirmation of eligibility and compliance with these Contest Rules. The Grand Prize Winner shall win the one (1) Grand Prize (as described below). In the event that no Video submission meets TopDog's criteria for the Grand Prize, TopDog reserves the right to not award the Grand Prize to any Entrant. Because this Contest involves skill-based judging, it is not a lottery or sweepstakes, and odds of winning the Grand Prize depend on the number of eligible entries received and the relative quality thereof.

4.4 Grand Prize

The verified Grand Prize Winner will receive the opportunity to participate in the production of one (1) TopDog radio commercial (the "Commercial"), subject to the terms and conditions of these Official Contest Rules and the Grand Prize Winner agreement, which shall be provided separately to such Grand Prize Winner. For services rendered in the successful completion of the production of the Commercial, a one-time payment of $10,000.00 shall be paid by TopDog to the Grand Prize Winner via electric payment within approximately fourteen (14) business days following completion of the Commercial. The Grand Prize has an approximate retail value of $10,000.00, exclusive of applicable taxes and withholdings.

4.5 Grand Prize Winner Employment Status

The Grand Prize Winner will be engaged by TopDog as a temporary, part-time independent contractor solely for purposes of participating in the production of the Commercial. As such, the Grand Prize Winner:

TopDog reserves the right to terminate the Grand Prize Winner's engagement with TopDog for any lawful reason at any time, including without limitation:

In the event of any such termination, the affected Grand Prize Winner shall forfeit the Grand Prize in its entirety.

4.7 Prize Conditions; Verification Required

Notwithstanding anything to the contrary herein, stated on-air, published online, or otherwise communicated to a potential winner, no potential winner of the Contest shall be entitled to receive any prize until TopDog has verified such potential winner's Contest eligibility and compliance with these Official Contest Rules and until such potential winner has completed and submitted all documents required by TopDog. In order to receive any prize, each winner may be required to (i) present a valid government-issued photo identification; (ii) verify their name, date of birth and residency; (iii) complete and submit an IRS Form W-9, including a valid United States taxpayer identification number or social security number; and/or (iv) provide or complete and sign any other documents required by TopDog, including without limitation, one or more liability release agreements.

4.8 Contest Winners List

For a list of Contest winners, mail a self-addressed, stamped envelope to: TopDog Law, P.A., 10115 E. Bell Road, Suite 107-434, Scottsdale, AZ 85260, Attn: TopDog Challenge Winners List. All requests must be received after the Contest Period end date but no later than three (3) months following the conclusion of the Contest.

Section 5: FCC Compliance

5.1 FCC Disclosure Requirements

This Contest is conducted in connection with a radio broadcast and is subject to 47 C.F.R. § 73.1216. In accordance with these requirements, all material terms of this Contest will be broadcast on-air and/or posted on the radio station's website in a clear and conspicuous manner; TopDog will fully and accurately disclose all material terms of the Contest to all Entrants; no false or misleading information will be broadcast in connection with this Contest; and the Contest will be conducted substantially as announced.

5.2 Material Terms On-Air

The following material terms of the Contest shall be announced on-air with sufficient frequency to ensure compliance with 47 C.F.R. § 73.1216: (i) eligibility requirements (18+ and Eligible States only); (ii) the Contest Period; (iii) the entry method; (iv) a description of the prize; (v) the method of winner selection; and (vi) the no-purchase-necessary statement.

5.3 Contest Amendments

Any changes to the material terms of the Contest shall be announced on-air and updated online as soon as reasonably practicable following such change.

Section 6: Intellectual Property Rights and Content Ownership

6.1 Assignment of Rights

By submitting a Video submission, each Entrant unconditionally and irrevocably assigns, transfers and conveys to TopDog all right, title and interest in and to the submitted Video and all Entry Content, including, without limitation, all copyrights (including the right to reproduce, distribute, publicly display, publicly perform, create derivative works and otherwise exploit the Video and any Entry Content in any medium now known or hereafter developed); all trademark rights; all neighboring rights; and all other intellectual property rights throughout the universe and in perpetuity, whether or not the video is selected as a winner. Without limiting the generality of the foregoing, Entrant acknowledges and agrees that by submitting the Video and any Entry Content as part of Contest entry, such Video and/or Entry Content will be deemed a "Work Made For Hire" under the Copyright laws of the United States, but if it cannot be so deemed, then the Entrant unconditionally and irrevocably assigns and transfers to TopDog all right, title and interest therein pursuant this Section 6.1. For the avoidance of doubt, this Section 6.1 applies to Entrants, not solely the Contest winners.

6.2 Waiver of Moral Rights

Each Entrant hereby unconditionally and irrevocably waives in favor of TopDog, all "Moral Rights of Authors" or any similar rights or principles of law that Entrant may now or later have to their Video and any Entry Content. This waiver applies to the Video and all Entry Content worldwide.

6.3 Further Assurances

Upon request of TopDog, each Entrant shall execute and deliver to TopDog such additional instrument of assignment, as may be solely deemed by TopDog, reasonably necessary to establish the ownership of record of the right, title and interest in and to the Video and any Entry Content and of the copyrights transferred and "Moral Rights of Authors" waived under these Official Contest Rules. TopDog's failure to request said assignment shall not be deemed a waiver of TopDog's rights, and TopDog may at a later time request the assignment.

6.4 License Pending Assignment

Pending the completion of any formal assignment of rights, each Entrant hereby unconditionally grants to TopDog an irrevocable, perpetual, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, distribute, publicly display, publicly perform, create derivative works of, and otherwise exploit the Video and any Entry Content for any and all purposes.

6.5 No Return of Entries

Upon submission of a Video or other Entry Content, such submission materials shall become the sole property of TopDog and shall not be returned or deleted, except as may be required by applicable law orTopDog's Privacy Policy with respect to personal data of ineligible or disqualified Entrants.

Section 7: Consent to Use of Name, Likeness, and Biographical Information

7.1 Consent to Use Name, Likeness and Biographical Information

Participation in the Contest, and acceptance of any prize by a winner, constitutes consent by Entrant for TopDog or its agents: (i) to interview each Entrant and/or winner, (ii) to photograph, film and/or record each Entrant and/or winner, and (iii) to use in commerce and in any medium now or hereafter known throughout the world in perpetuity and without payment of compensation or consideration: Entrant's full legal or stage name, physical address (city and state only), biographic information, likeness, photograph, audio recording, the Video submission, any Entry Content, prize information (if any), and/or any statements made by Entrant regarding TopDog, the Contest and/or its sponsor(s) for purposes of trade, publicity, or promotion without notice or additional compensation, notification or permission, except where prohibited by law.

7.2 Age Verification for Likeness Use

TopDog will not publicly use the name or likeness of any Entrant without first verifying that the Entrant is eighteen (18) years of age or older.

Section 8: Privacy and Data Collection

8.1 Personal Data

TopDog may use cookies and/or collect IP addresses for the purpose of implementing or exercising its rights or obligations under these Official Contest Rules, for information purposes, for identifying your location and redirecting you to the appropriate geographic website, if applicable, and/or for any other lawful purpose in accordance with the Company's Privacy Policy. By entering this Contest, each Entrant hereby permits TopDog to share with its vendor certain personal information for purposes of distributing the Swag Box Prize, which may include, among other things, each eligible Entrant's legal name, email address, phone number, physical address and mailing address. TopDog will not sell Entrants' personal data to third parties.

8.2 COPPA Compliance

TopDog does not knowingly collect personal information from children under the age of thirteen (13). If TopDog discovers that it has inadvertently collected personal information from a child under thirteen (13), TopDog will promptly delete such information.

8.3 Data Retention

TopDog shall retain personal data collected in connection with this Contest only for as long as necessary to administer the Contest, fulfill prizes, comply with applicable legal obligations and resolve any disputes. Personal data of Entrants who are determined to be ineligible will be deleted promptly upon such determination, subject to applicable legal hold obligations.

8.4 Opt-In to Communications

Any available opt-in opportunities are not required to enter the Contest, and opting in will not improve your chances of winning. Entrants may opt out of marketing communications at any time.

Section 9: Release; Limitation of Liability

9.1 Releas of Claims

Participation in this Contest and/or acceptance of any prize constitutes agreement by any Entrant and/or winner to release, forever discharge, indemnify and hold harmless TopDog, TopDog Technologies, Inc., their affiliates, parents, subsidiaries, successors, assigns, employees, officers, directors, members, managers, agents, participating sponsors, advertising agencies, prize fulfillment agencies, and all other persons and entities connected with the Contest (collectively, the "Released Parties") from any and all liability, claims, actions, losses, demands, obligations, grievances and/or other damages sustained or incurred relating to or in connection with, either directly or indirectly, (i) the participation in this Contest; (ii) receipt, use or misuse of any prize; (iii) any breach by Entrant of any representation, warranty or obligation under these Official Contest Rules; (iv) data breach and loss of information; or (v) any infringement or violation of any third party's rights (including intellectual property rights) in connection with Entrant's Video submission or Entry Content.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE RELEASED PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS CONTEST, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 Technical Malfunctions

The Released Parties shall not be responsible for any technical difficulties, malfunctions, server failures, network outages, lost or misdirected entries, garbled transmissions, or any other technical problem arising in connection with this Contest. TopDog assumes no responsibility for any incorrect or inaccurate information, whether caused by Entrants or by any technical issue.

Section 10: Governing Law; Dispute Resolution

10.1 Governing Law

These Official Contest Rules shall be governed by and construed and enforced in accordance with the laws of the State of Arizona, without regard to any provisions thereof relating to conflicts of laws that would require application of the laws of another jurisdiction.

10.2 Mediation

Any dispute, controversy, or claim arising out of or relating to these Official Contest Rules (a "Dispute") that cannot be settled through negotiation shall be mediated by the applicable parties before a single mediator in the City of Phoenix, Arizona. Any Entrant may invoke the right to mediation set forth in this Section 10.2 by sending written notice to the other party or parties of such invocation and setting forth in adequate detail the nature of the matter to be mediated. The parties to the mediation jointly shall appoint the mediator within fifteen (15) calendar days of receipt of the written notice. The mediation proceedings shall commence and be diligently pursued by the parties within fifteen (15) calendar days of the appointment of the mediator. Each party to the mediation shall bear its own cost and expense incurred with respect to the mediation. The cost of the mediator and the mediation procedure shall be borne equally by the parties to the mediation.

10.3 Arbitration

Any Dispute that cannot be settled or resolved by negotiation or through mediation to the satisfaction of all parties to the mediation within ninety (90) days of the notice of the invocation of mediation pursuant to Section 10.2 above shall be resolved through binding arbitration. Any Entrant may invoke the right to arbitration set forth in this Section 10.3 by sending written notice to TopDog of such invocation. The arbitration shall be held in Phoenix, Arizona, unless the parties mutually agree in writing to have such arbitration proceeding in some other locale, and all hearings may be conducted virtually. The parties shall name a single arbitrator within twenty (20) calendar days after such written notice. If the parties fail to select an arbitrator within twenty (20) calendar days as required herein, the arbitrator shall be selected pursuant to the selection process of the American Arbitration Association ("AAA") Commercial Rules. The arbitrator shall render a decision within ninety (90) calendar days after his or her appointment and shall conduct all proceedings pursuant to the then existing Commercial Rules of the AAA, to the extent such rules are not inconsistent with Arizona law and these Official Contest Rules. Judgment upon the award rendered pursuant to the arbitration may be entered in any court having jurisdiction. The cost of the arbitration procedure shall be borne by the losing party or, if the decision is not clearly in favor of one party or the other, then such costs shall be borne as determined by the arbitrator. The arbitration procedure provided for in these Official Contest Rules shall be binding arbitration and shall be the sole and exclusive remedy for any applicable Dispute.

10.4 Class Action Disputes

THE ARBITRATION OF DISPUTES PURSUANT TO SECTION 10.3 SHALL BE IN THEENTRANT'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT ENTER THIS CONTEST IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE OFFICIAL CONTEST RULES.

10.5 Severability of Arbitration Provision

If the class action/representative proceeding waiver set forth in Section 10.4 is found to be unenforceable by a court of competent jurisdiction, then any such Dispute shall be resolved in accordance with Section 10.2 and Section 10.3. If any other part of Section 10 is found to be invalid or unenforceable, the remaining portions of Section 10 shall remain in full force and effect.

10.6 Equitable Relief

Notwithstanding anything in Section 10.2 and Section 10.3 above, an Entrant may seek specific performance (whether to enforce these Official Contest Rules or otherwise) or any other equitable relief in a court of competent jurisdiction.

10.7 Waiver of Jury Trial

Each Entrant hereby acknowledges and agrees that any Dispute is likely to involve complicated and difficult legal and business issues that the parties would prefer to have decided by a judge without a jury.

THEREFORE, EACH PARTY HEREBY IRREVOCABLY AND UNCONDITIONALLY WAIVES THE RIGHT TO HAVE A TRIAL BY JURY IN RESPECT OF ANY DISPUTE, CONTROVERSY OR CLAIM OF ANY KIND RELATING IN ANY WAY TO THESE OFFICIAL CONTEST RULES, OR ANY OTHER MATTER BETWEEN THE PARTIES (INCLUDING ALL CONTRACT CLAIMS, TORT CLAIMS, AND ALL COMMON LAW AND STATUTORY CLAIMS).

Each Entrant hereby acknowledges that this waiver is a material inducement to participation in this Contest, that it has relied on this waiver in entering into this Contest, and that it will continue to rely on this waiver in its related future dealings.
